If a separately executed written agreement expressly conflicts with these Terms, the specifically negotiated provision of the executed agreement shall control with respect to that conflict.

2. DEFINITIONS

For purposes of these Terms:

“Client,” “You,” and “Your” means the individual or business purchasing, accessing, or using the Services.

“Company,” “Lionheart,” “We,” “Us,” and “Our” means Lionheart Digital Agency.

“Services” means all services, subscriptions, products, deliverables, consulting, marketing activities, technology, creative work, and related offerings provided by Lionheart Digital Agency.

“Third-Party Platforms” means platforms and providers not owned or controlled by Lionheart, including Meta, Facebook, Instagram, Google, TikTok, YouTube, X, LinkedIn, search engines, artificial intelligence platforms, web-hosting companies, CRM providers, payment processors, analytics platforms, and similar third parties.

“Advertising Spend” means funds designated for placement of advertisements through Third-Party Platforms and is separate from Lionheart's management fees unless expressly stated otherwise.

3. ALL SALES FINAL — STRICT NO-REFUND POLICY

ALL SALES ARE FINAL.

Except where a refund is expressly required by non-waivable applicable law, Lionheart Digital Agency does not provide refunds under any circumstances.

This policy applies to, without limitation:

No refunds, credits, prorated refunds, retroactive adjustments, payment reversals, or cash reimbursements will be issued simply because a Client elects to discontinue Services or no longer wishes to use Services that were purchased.

Once payment is submitted, the Client assumes the financial commitment associated with that purchase.

The Client acknowledges and expressly agrees to this policy before purchasing Services.

4. CANCELLATION DOES NOT CREATE A RIGHT TO A REFUND

Cancellation and refund eligibility are separate matters.

Where a recurring Service permits cancellation, properly canceling the recurring Service prevents future renewals in accordance with the applicable subscription or contractual terms.

Cancellation does not entitle the Client to a refund of amounts already paid, charged, earned, incurred, committed, or due.

Services may continue through the end of the applicable paid service period unless otherwise determined by Lionheart or stated in a separate agreement.

A Client's failure to use Services does not constitute cancellation.

Where a minimum commitment, fixed service term, or other contractual payment obligation applies, cancellation does not eliminate amounts that became contractually due before or through the applicable commitment period.

5. PAYMENT AUTHORIZATION

By providing a payment method to Lionheart Digital Agency, You represent that:

  1. You are authorized to use the payment method;

  2. The billing information You provide is accurate;

  3. You authorize Lionheart and its payment processors to charge all amounts properly due under Your purchase or agreement; and

  4. For recurring Services, You authorize recurring charges according to the billing frequency and terms disclosed at enrollment until the recurring arrangement is properly canceled or otherwise terminates.

You are responsible for maintaining accurate and current payment information.

6. LATE, FAILED, OR DECLINED PAYMENTS

Failure to maintain a valid payment method does not eliminate Your contractual payment obligations.

If payment is declined, reversed, disputed, blocked, or otherwise unsuccessful, Lionheart may, to the extent permitted by law:

  • Suspend Services;

  • Stop advertising campaigns;

  • Suspend access to deliverables or systems;

  • Pause development work;

  • Withhold unfinished deliverables;

  • Terminate Services;

  • Retry authorized charges;

  • Invoice outstanding balances;

  • Refer delinquent balances for collection;

  • Pursue available contractual or legal remedies.

The Client remains responsible for legitimate outstanding balances.

7. CHARGEBACKS AND PAYMENT DISPUTES

Clients agree to contact Lionheart Digital Agency at support@lionheartdigitalagency.com regarding billing concerns before initiating a payment dispute whenever reasonably practicable.

A chargeback does not automatically extinguish a valid contractual debt.

If a Client disputes a charge for Services that were properly authorized, commenced, performed, delivered, reserved, or otherwise provided pursuant to the Client's agreement, Lionheart reserves the right to submit documentation to the issuing bank, payment processor, card network, financial institution, or other relevant dispute-resolution provider.

Such documentation may include:

  • Executed agreements

  • Electronic acceptance records

  • Invoices

  • Payment records

  • Communications

  • Login records

  • Onboarding forms

  • Advertising records

  • Campaign records

  • Creative deliverables

  • Work logs

  • Project-management records

  • Analytics

  • Proof of performance

  • Proof of delivery

  • Applicable refund policies

  • Other evidence reasonably necessary to respond to the dispute

Where legally permitted, Lionheart may pursue collection of an unpaid contractual balance notwithstanding the outcome of a payment processor's internal chargeback proceeding.

Knowingly submitting false or materially misleading information in connection with a payment dispute may expose the responsible party to consequences available under applicable law.

8. COLLECTION OF OUTSTANDING BALANCES

Amounts legitimately owed to Lionheart that remain unpaid may be referred to attorneys, collection agencies, or other lawful collection providers.

To the extent permitted by applicable law and the applicable agreement, the Client may be responsible for reasonable costs incurred in collecting delinquent amounts, including collection costs, filing fees, court costs, arbitration costs, and reasonable attorneys' fees where recoverable.

Nothing in these Terms grants Lionheart a security interest or lien unless such interest is separately and validly created in accordance with applicable law.

9. ADVERTISING BUDGETS

Advertising spend is separate from Lionheart's management fees unless expressly stated otherwise.

Recommended advertising budgets are recommendations and do not constitute guarantees of performance.

Lionheart may recommend minimum spending levels based on campaign objectives, market conditions, geographic targeting, competition, historical data, platform requirements, and anticipated campaign volume.

A Client who chooses an advertising budget below Lionheart's recommended level acknowledges that reduced spending may limit:

  • Campaign reach

  • Data collection

  • Optimization opportunities

  • Testing capacity

  • Lead volume

  • Conversion volume

  • Scaling opportunities

Advertising funds committed to Third-Party Platforms are subject to the policies, billing practices, and systems of those platforms.

10. NO GUARANTEE OF MARKETING RESULTS

Marketing inherently involves variables outside Lionheart's control.

Accordingly, Lionheart does not guarantee any specific level of:

  • Revenue

  • Profit

  • Return on investment

  • Return on advertising spend

  • Leads

  • Customers

  • Sales

  • Conversions

  • Website traffic

  • Followers

  • Engagement

  • Search ranking

  • AI recommendation placement

  • Search-engine placement

  • Market share

  • Business growth

  • Advertising performance

Past performance, projections, case studies, examples, estimates, benchmarks, or historical results do not guarantee future performance.

Lionheart's obligation is to provide the purchased Services professionally and in accordance with the agreed scope—not to guarantee a particular commercial outcome.

11. THIRD-PARTY PLATFORMS

Lionheart does not own or control Third-Party Platforms.

Lionheart shall not be responsible for actions taken by Third-Party Platforms, including:

  • Account suspensions

  • Advertising disapprovals

  • Algorithm changes

  • Policy changes

  • Platform outages

  • Tracking failures

  • Account restrictions

  • Search-engine updates

  • Ranking changes

  • Artificial-intelligence platform changes

  • Increased advertising costs

  • Data loss

  • Platform termination

  • API changes

  • Reduced reach

  • Changes in attribution

  • Changes in platform functionality

Third-party events do not constitute a breach of these Terms by Lionheart and do not create a right to a refund.

12. ACCESS TO CLIENT ACCOUNTS

Clients must provide all access, permissions, credentials, assets, information, and administrative privileges reasonably required for Lionheart to perform the purchased Services.

This may include access to:

  • Social media accounts

  • Advertising accounts

  • Websites

  • Domains

  • Google Business Profiles

  • Analytics accounts

  • Search Console

  • CRM platforms

  • Email marketing platforms

  • Hosting accounts

  • Tracking systems

  • Other relevant digital properties

The Client is responsible for ensuring that Lionheart has lawful permission to access any account provided.

Delays caused by missing or revoked access do not constitute a breach by Lionheart and do not suspend the Client's payment obligations.

13. CLIENT RESPONSIBILITIES

The Client agrees to provide accurate and timely:

  • Business information

  • Branding materials

  • Logos

  • Images

  • Product information

  • Service information

  • Pricing

  • Credentials

  • Approvals

  • Feedback

  • Legal disclosures

  • Regulatory information

  • Claims substantiation

  • Other materials reasonably required to perform the Services

Lionheart is not responsible for delays or performance issues caused by the Client's failure to provide required information, approvals, or access.

14. REQUIRED ONBOARDING

Clients may be required to complete onboarding questionnaires, intake forms, account-access procedures, verification requirements, or related setup processes.

Completion of required onboarding is a condition of efficient service delivery.

A Client's failure or refusal to complete onboarding does not create a right to a refund.

Lionheart may delay, suspend, or terminate Services when required onboarding information is not provided.

15. CLIENT APPROVALS

Where Client approval is required, the Client is responsible for reviewing materials in a timely manner.

Delays in approvals may affect publishing dates, campaign launches, project timelines, optimization schedules, or deliverable completion.

Client-caused delays do not constitute nonperformance by Lionheart.

16. SERVICE TIMELINES

All projected launch dates, delivery dates, ranking timelines, development schedules, optimization periods, and completion estimates are estimates unless an executed agreement expressly states that a deadline is guaranteed.

Marketing and development projects may be affected by:

  • Client response times

  • Platform approval processes

  • Technical complications

  • Third-party providers

  • Algorithm changes

  • Scope modifications

  • Account verification

  • Content approvals

  • Integration requirements

  • Force majeure events

Reasonable delays do not create an automatic right to cancel, withhold payment, or receive a refund.

17. SEARCH ENGINE OPTIMIZATION

SEO performance depends on factors that Lionheart cannot fully control, including search-engine algorithms, competitor activity, website authority, domain history, technical conditions, market competition, content quality, backlink profiles, and search-engine policy changes.

Lionheart does not guarantee first-page rankings, number-one rankings, or permanent placement for any keyword.

Search rankings may increase or decrease over time.

18. ANSWER ENGINE OPTIMIZATION

AEO services are intended to improve the ability of search engines, artificial intelligence systems, conversational platforms, and answer engines to understand, discover, cite, summarize, reference, or surface Client content.

Lionheart cannot control how independent artificial intelligence systems select, rank, summarize, cite, or recommend information.

No particular AI placement, citation, recommendation, visibility level, or answer-engine result is guaranteed.

19. SOCIAL MEDIA MANAGEMENT

Social media management is intended to support brand visibility, consistency, positioning, engagement, and content development.

Unless expressly included in a separate advertising agreement, organic social media management does not guarantee lead generation, customer acquisition, direct revenue, follower growth, or sales.

20. INTELLECTUAL PROPERTY

Except as otherwise specified in a written agreement, Lionheart retains ownership of its proprietary:

  • Processes

  • Systems

  • Frameworks

  • Strategies

  • Templates

  • Methodologies

  • Internal documentation

  • Automation architecture

  • Advertising structures

  • Research methodologies

  • Reporting systems

  • Software

  • Know-how

  • Preexisting materials

Upon full payment, Client-specific final deliverables may be licensed or transferred to the Client to the extent specifically provided in the applicable service agreement.

Lionheart's preexisting intellectual property and general methodologies remain Lionheart property.

21. CLIENT-PROVIDED MATERIALS

The Client represents and warrants that it possesses the rights necessary for Lionheart to use all materials supplied by the Client.

The Client grants Lionheart a non-exclusive license to use Client-provided materials as reasonably necessary to provide the Services.

The Client is responsible for claims arising from materials supplied by the Client that infringe another party's intellectual-property, privacy, publicity, or other rights.

22. BACKLINKS AND OFF-SITE SEO ASSETS

Unless expressly agreed otherwise, backlinks, placements, citations, third-party listings, and similar off-site SEO assets may exist on properties that neither Lionheart nor the Client owns.

Accordingly, Lionheart cannot guarantee permanent availability of any third-party backlink or placement.

Third-party publishers may alter or remove links without Lionheart's control.

Any backlink strategy, network, or proprietary placement resource owned or controlled by Lionheart remains Lionheart's intellectual property unless otherwise agreed in writing.

23. COOKIES AND WEBSITE TECHNOLOGIES

Lionheart may use cookies, analytics tools, pixels, tracking technologies, and similar technologies to operate its website, analyze usage, improve Services, measure advertising performance, and support marketing activities.

Use of such technologies is additionally governed by Lionheart's Privacy Policy and applicable law.

24. USER-GENERATED CONTENT

Where Lionheart permits reviews, comments, submissions, or other user-generated content, the person submitting such content remains responsible for it.

Lionheart may moderate or remove content that violates applicable law, platform policies, intellectual-property rights, or these Terms.

Nothing in these Terms prohibits a Client from providing truthful feedback or exercising rights that cannot legally be waived.

25. LINKS TO THIRD-PARTY WEBSITES

Lionheart may provide links to external websites for convenience.

Lionheart does not control and is not responsible for third-party websites, services, content, security, privacy practices, accuracy, or availability.

Use of third-party resources is at the Client's own discretion and subject to the third party's terms.

26. CONFIDENTIALITY

Each party may receive confidential or proprietary information belonging to the other.

The parties agree to use commercially reasonable measures to protect confidential information and to use such information only as reasonably necessary to fulfill the business relationship, except where disclosure is authorized, required by law, or necessary to professional advisers or service providers operating under appropriate confidentiality obligations.

27. DATA AND CLIENT INFORMATION

Lionheart may collect, process, store, and use Client information as reasonably necessary to:

  • Provide Services;

  • Communicate with Clients;

  • Process payments;

  • Operate campaigns;

  • Generate reports;

  • Maintain records;

  • Improve Services;

  • Prevent fraud;

  • Comply with legal obligations;

  • Work with authorized service providers.

Lionheart may share information with vendors and service providers where reasonably necessary to perform the Services.

Lionheart does not sell Client personal information merely for unrelated third parties to independently market their products to the Client.

Data practices are additionally governed by Lionheart's Privacy Policy.

28. COMMUNICATION CONSENT

By providing an email address or telephone number, the Client consents to receiving transactional and service-related communications from Lionheart.

Where legally required, marketing communications will be subject to applicable consent and opt-out requirements.

29. INDEMNIFICATION

To the maximum extent permitted by law, the Client agrees to indemnify, defend, and hold harmless Lionheart Digital Agency and its owners, officers, employees, contractors, affiliates, and agents from third-party claims, liabilities, damages, losses, costs, or expenses arising from:

  • Client-provided materials;

  • Client products or services;

  • Client instructions;

  • Client misrepresentations;

  • Client violation of law;

  • Client violation of third-party rights;

  • Unauthorized use of deliverables;

  • Claims or representations supplied by the Client for use in marketing.

This provision does not require indemnification for liability that applicable law prohibits Lionheart from disclaiming.

30. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Lionheart shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of anticipated savings arising from the Services.

To the maximum extent permitted by law, Lionheart's aggregate liability arising from a particular claim shall not exceed the amount actually paid by the Client to Lionheart for the specific Service giving rise to the claim during the applicable period.

Nothing in these Terms limits liability that cannot lawfully be limited.

31. TERMINATION BY LIONHEART

Lionheart may suspend or terminate Services where reasonably necessary because of:

  • Nonpayment

  • Fraud

  • Abusive conduct

  • Material breach

  • Failure to cooperate

  • Unlawful activity

  • Platform-policy violations

  • Reputational or legal risk

  • Failure to provide necessary access

  • Misrepresentation

  • Other material violations of these Terms

Termination by Lionheart because of Client breach does not create a right to a refund.

Amounts properly earned or contractually due remain payable.

32. RECURRING SERVICES

Recurring Services renew according to the billing interval disclosed when purchased unless canceled or otherwise terminated pursuant to the applicable subscription terms.

The Client is responsible for reviewing applicable pricing, renewal frequency, commitment periods, and cancellation requirements before enrollment.

Cancellation affects future renewals as provided by the applicable agreement. It does not retroactively reverse valid charges or create a refund for a previously purchased service period.

33. DISPUTE RESOLUTION

Before initiating formal proceedings, the parties agree to make a good-faith attempt to resolve disputes through written communication.

Any dispute-resolution procedure, including arbitration, specified in a separately executed service agreement shall apply according to that agreement.

To the extent these Terms independently require arbitration and such requirement is enforceable under applicable law, disputes arising from these Terms or the Services shall be resolved through binding individual arbitration rather than a jury trial, except for matters legally exempt from arbitration or eligible for an applicable small-claims proceeding.

The arbitrator shall have authority to award relief available under applicable law and the parties' enforceable agreement.

34. CLASS AND REPRESENTATIVE ACTION WAIVER

To the fullest extent permitted by applicable law, disputes subject to arbitration shall be conducted on an individual basis and not as a class, collective, consolidated, or representative proceeding.

If applicable law prohibits enforcement of this provision with respect to a particular claim, that claim shall be treated as required by applicable law without invalidating the remainder of these Terms.

35. GOVERNING LAW

These Terms shall be governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where federal law or another jurisdiction's non-waivable law applies.

Where a dispute is not subject to arbitration, the parties consent to the jurisdiction and venue of the applicable courts permitted under the parties' agreement and governing law.

36. FORCE MAJEURE

Lionheart shall not be responsible for delays, interruptions, or failures caused by circumstances reasonably beyond its control, including natural disasters, utility failures, internet outages, cyber incidents, government actions, labor disruptions, platform outages, acts of war, terrorism, epidemics, infrastructure failures, or failures of third-party providers.

37. NO WAIVER

Failure by Lionheart to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

A waiver is effective only when expressly made in writing by an authorized representative.

38. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent legally permissible or severed as necessary.

The remainder of the Terms shall remain in full force and effect.

39. ASSIGNMENT

The Client may not assign or transfer its obligations under these Terms without Lionheart's prior written consent.

Lionheart may assign these Terms in connection with a merger, acquisition, restructuring, sale of substantially all relevant assets, or other lawful business transaction.

40. ENTIRE AGREEMENT

These Terms, together with any applicable proposal, order form, invoice, statement of work, subscription terms, Privacy Policy, and separately executed agreement, constitute the agreement governing the applicable Services.

They supersede prior oral representations concerning the same subject matter except where expressly incorporated into a subsequent written agreement.

41. MODIFICATIONS TO TERMS

Lionheart may revise these Terms from time to time.

Updated Terms will be posted with a revised effective date.

Changes will apply prospectively as permitted by applicable law and will not retroactively eliminate rights that cannot legally be modified without additional consent.

42. ELECTRONIC ACCEPTANCE

The Client agrees that electronic acceptance, online checkout acceptance, electronic signatures, payment authorization, and other legally recognized electronic methods may constitute valid acceptance of these Terms.

Electronic records may be retained as evidence of the parties' agreement.

43. CONTACT INFORMATION

All questions, billing inquiries, notices, cancellation requests where permitted through this channel, and communications regarding these Terms should be directed to:

Lionheart Digital Agency
Email: support@lionheartdigitalagency.com

Only communications made through Lionheart's authorized communication channels may bind the Company.

44. ACKNOWLEDGMENT

BY PURCHASING, ACCESSING, OR USING LIONHEART DIGITAL AGENCY'S SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND AGREE TO BE BOUND BY THEM.

YOU FURTHER ACKNOWLEDGE AND EXPRESSLY AGREE THAT:

ALL SALES ARE FINAL.

LIONHEART DIGITAL AGENCY MAINTAINS A STRICT NO-REFUND POLICY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

CANCELLATION OF SERVICES DOES NOT ENTITLE YOU TO A REFUND OF AMOUNTS ALREADY PAID, EARNED, INCURRED, OR CONTRACTUALLY DUE.

MARKETING RESULTS ARE NOT GUARANTEED, AND THIRD-PARTY PLATFORM ACTIONS, ALGORITHM CHANGES, MARKET CONDITIONS, OR BUSINESS RESULTS DO NOT CREATE A RIGHT TO A REFUND.
